Acquisition of Dahua Technology USA

When did Luminys Systems Corp. acquire Dahua Technology USA?
  • In January 2024, our parent company Foxlink announced its acquisition of Dahua Technology USA.
  • In May 2024, we announced the completion of the transition of Dahua Technology USA, which now operates in this market as a wholly integrated part of Luminys.
Why did the company choose to acquire Dahua USA?
  • This transaction is part of a larger strategic roadmap for the company, positioning Luminys to play an expanded role in the US security and smart building market.
  • By combining the extensive manufacturing capabilities of our parent company Foxlink with the strong distribution channel and sales network built by Dahua USA, Luminys will be positioned to offer expanded, end-to-end security and smart building solutions in the US marketplace.
What lies ahead for Luminys, now that the acquisition has been completed?
  • Since the acquisition, we have been squarely focused on two priorities: (1) serving the immediate needs of our current customers and (2) preparing for a future in which all Luminys products will be manufactured by Foxlink and its affiliates, rather than by Dahua.

What does the acquisition mean for existing customers?
  • Our goal is to ensure the seamless delivery of the high-quality products, solutions, and customer support that customers expect of us.
  • To ensure uninterrupted customer support, we are continuing to sell devices manufactured by Dahua during an interim period. These are products that have been previously authorized by the FCC and which have been a market mainstay for years.

Supply Chain

Is your supply chain transition delayed?
  • No.
  • At Luminys, our number one priority after the acquisition has been—and continues to be—our transition to sourcing products from our parent company Foxlink and its supply chain affiliates.
  • Our plan has always been for the transition to move forward as expeditiously as possible, while complying with all applicable regulations, sustaining our business, and respecting the current and future needs of our customers.

Do you still offer products manufactured by Dahua Technology?
  • To ensure uninterrupted customer support, we are still carrying Dahua products from our existing inventory during an interim period.
  • It is important to note that we will always market Dahua-manufactured products under the Dahua brand to avoid any risk of confusion in the marketplace.
  • As before the acquisition, Dahua-manufactured products remain subject to certain US regulatory restrictions, including restrictions on entities covered by the NDAA from purchasing those products.
Do you currently offer any products manufactured within Foxlink’s supply chain?
  • Yes.
  • In June 2024, we launched our first product manufactured within Foxlink’s supply chain.
  • In the weeks and months ahead, we will launch a wider range of products manufactured within Foxlink’s supply chain to meet growing demand from the US marketplace.
  • To that end, our roadmap also includes video security and VSaaS solutions from Foxlink and its affiliates, which are scheduled to launch later in 2024.
When will Luminys offer a full range of products manufactured within Foxlink’s supply chain?
  • By March 2025, we expect Luminys will offer a full line of smart building and software solutions and products manufactured through Foxlink’s supply chain.
  • With the full Luminys product range in place, we will phase out offerings from Dahua. We will actively encourage customers to switch their purchases to the new Luminys line over the course of 2025.
When will you stop selling Dahua-manufactured products?   
  • By December 2025, we expect Luminys will stop selling Dahua-manufactured products entirely.

Regulatory Compliance

How does Luminys approach regulatory compliance?
  • The full range of Luminys products manufactured by Foxlink and affiliates will be in full compliance with all applicable laws, regulations and industry standards.
  • As before the acquisition, Dahua-manufactured products remain subject to certain US regulatory restrictions, including restrictions on entities covered by the NDAA from purchasing those products.
  • It is important to note that we will always market Dahua-manufactured products under the Dahua brand to avoid any risk of confusion in the marketplace.
Will Luminys products be NDAA compliant?
  • Yes, Luminys products manufactured by Foxlink and affiliates will be NDAA compliant.
  • As before the acquisition, Dahua-manufactured products remain subject to certain US regulatory restrictions, including restrictions on entities covered by the NDAA from purchasing those products.
  • It is important to note that we will always market Dahua-manufactured products under the Dahua brand to avoid any risk of confusion in the marketplace.
Will Luminys products comply with FCC regulations?
  • Yes, Luminys products manufactured by Foxlink and affiliates will be FCC compliant.
  • It is also important to note that the Dahua-manufactured products we are offering during the transition period have been previously authorized by the FCC and have been a market mainstay for years.
Once the supply chain transition is complete, will you source from any companies on U.S. Government Entity Lists?
  • We have announced that by the end of 2025, our entire product range will be sourced within Foxlink’s supply chain.
  • By the end of 2025, it is our expectation that no Luminys products sold in the United States will be sourced in any way from Dahua or any other company that is on a U.S. Government Entity List.
