Our Transition Timeline

When Luminys acquired Dahua USA in March 2024, we communicated our intention to transition fully from Dahua manufactured products to products manufactured within Foxlink’s supply chain, including its own manufacturing capacity as well as its affiliates and partners. We understand that there may be questions about the precise stages and timing of this transition. We are providing here additional details about our intended course of action during this process.

To transition a supply chain of this complexity is a time-consuming effort that involves manufacturing, launching, and marketing not just a single new product, but rather a full range of products and solutions, consisting of hundreds of component parts sourced from dozens of manufacturers, distributed through hundreds of channel partners across the country, and serving end users in a wide variety of different verticals. The process needs to take into account the interests of all of these many stakeholders. Our plan seeks to do so in a manner that moves forward as expeditiously as possible, while complying with all applicable regulations, sustaining our business, and respecting the current and future needs of our customers.

March 2024: Luminys Completes Acquisition

In March 2024, Luminys completed our acquisition of Dahua USA. This transaction is part of a larger strategic roadmap that will position Luminys to play an expanded role in the US security and smart building market.

At Luminys, our number one priority after the acquisition has been—and continues to be—our transition to sourcing products from our parent company Foxlink, a global leader in manufacturing and partner to major brands, and its supply chain affiliates.

As we explained in an FCC filing shortly after the transaction was completed, Foxlink “intends to rapidly scale up operations and manufacturing to enable the launch of new product offerings. It will require a transition period before production of Luminys-branded products can fill the gap left by Dahua-manufactured products.”

The March 2024 acquisition marked the beginning of the transition process, with Foxlink and its affiliates working to quickly build up the manufacturing capabilities to support a full range of new products from Luminys.

June 2024: First Products Manufactured Within Foxlink’s Supply Chain Launched

Our transition to Foxlink manufacturing and its supply chain affiliates is underway. In June 2024, we launched the first Luminys product manufactured within Foxlink’s supply chain: LumiGuardian, a solar trailer.

In the weeks and months ahead, we will launch a wider range of products manufactured within Foxlink’s supply chain to meet growing demand from the US marketplace. To that end, our roadmap also includes video security and VSaaS solutions from Foxlink and its affiliates, which are scheduled to launch later this year

March 2025: Full Slate of Luminys Products Available

By March 2025, approximately one year after the acquisition of Dahua USA was completed, we expect Luminys will offer a full line of smart building and software solutions and products manufactured through Foxlink’s supply chain. None of the entities or companies involved in this line will be listed on any applicable U.S. Government restriction list, particularly the FCC Covered List and the Covered Entities list under the NDAA 2019 rules. These products will also be manufactured in full compliance with Entity List rules under the applicable US export control laws and regulations.  That matches the public commitment we made in another FCC filing, where we estimated the transition period to last “approximately one year from the completion of the transaction.”

To be clear: in March 2025, we expect to still be carrying Dahua products from our existing inventory, alongside the new slate of products we will source from Foxlink and its affiliates. It is important to note that we will always market Dahua-manufactured products under the Dahua brand to avoid any risk of confusion in the marketplace. As before the acquisition, Dahua-manufactured products remain subject to certain US regulatory restrictions, including restrictions on entities covered by the NDAA from purchasing those products.

The need to continue offering these Dahua products during this period stems from our responsibility to serve the needs of our current distributors and end-users, who naturally will require time to assess our new product line and to transition from buying Dahua products to buying the new Luminys products.

December 2025: Luminys Stops Selling Dahua Product Line

By December 2025, we expect Luminys will stop selling Dahua-manufactured products entirely.

Luminys does not plan—and has never planned—to indefinitely carry and sell Dahua products. The plan has always been to phase out the Dahua product line as customers transition to Luminys products. By December 2025, we expect to declare the entire Dahua product line as “end of life” and scrap any remaining inventory.

As we publicly stated in our recent Transparency and Transition post: “By the end of 2025, it is our expectation that no Luminys products sold in the United States will be sourced from Dahua or any other company on a US Government Entity List.”

Looking Ahead

Luminys is committed to serving our customer base with industry-leading products, solutions, and services in the security and smart building market. Our transition to Foxlink’s supply chain is part and parcel of that commitment.

By outlining in greater detail our expected timeline around our ongoing transition to Foxlink and its affiliates, we hope to have answered any outstanding questions from our stakeholders.

In the weeks and months ahead, we look forward to continuing to work with dealers and distributors nationwide to enable better security outcomes for our customers.
